SHARE MEMBERSHIP
Membership Eligibility/Criteria
- Any tenant of the Association, aged 16 or over.
- Any other permanent resident in North Ayrshire or East Ayrshire, aged 18 or over.
- No member can hold more than one share in the Association.
- Shares cannot be held jointly.
- There is no interest, dividend or bonus payable on shares.
- Under certain criteria £1 shares can be transferred.
Categories of Share Membership
The following categories of share membership are operated by the Association:-
- Individual membership for all tenants of the Association.
- Individual membership for any other individual within North and East Ayrshire.
- Tenants’ Association Membership for a Registered Tenants’ Organisations (RTOs) who meets the Housing Association qualifying criteria.
- Body Corporate Membership to North Ayrshire Council and East Ayrshire Council
Corporate Social Responsibility Of Share Membership
£1 share membership of the Association will entitle you:-
- To stand for election to the Management Committee which is the Association’s governing body.
- To receive Share membership newsletters at least twice per year.
- To receive a copy of the Association’s Annual Accounts and Annual Report and our Community Regeneration Unit’s Annual Report.
- To receive a copy of the Annual Report of our subsidiary company, Cunninghame Enterprises.
- An invitation to attend and participate in the Annual General Meeting of the Association.
How to Apply for Share Membership: Our Procedure
To apply for membership, the applicant must submit an application form and £1 to the Association’s Secretary at our registered office at 82-84 Glasgow Street, Ardrossan.
The applicant will complete the membership application form providing his/her name, address, gender, ethnic origin, age group and type of employment (if applicable) and interests together with a statement as to why they wish to join the Association. The personal information will be used for ascertaining the level and types of skill that is within the Membership, confirming residency and monitoring purposes only.
Our Management Committee will, upon receipt of the fully completed application form, consider the application at their first available meeting. In this respect it is important that the applicant fully completes the form.
We will also acknowledge receipt of your application within 5 working days upon receipt of same.
The Association’s Corporate Services department is responsible for the administration of all share membership applications, and following confirmation of residency details, will submit the application to the management committee. Thereafter, the following will apply:-
- The minutes of the meeting will record the committee’s approval/disapproval of the application.
- If approved, within 7 working days of the meeting the share application will be recorded in the Association’s Membership Register.
- A £1 Share Certificate will be issued in the name of the new member. The certificate will be sent to the member, as part of our new Share Member Welcome & Information Pack together with the following:-

- An extract of the page of the minute of the meeting approving the share application
- The CHA Rule Book and the Rule Book of our Subsidiary Company, Cunninghame Enterprises
- The CHA Governance Booklet
- A copy of the most recent Annual Accounts
- CHA’s Annual Report
- CHA’s Regeneration Unit Annual Report
- Two Share Members Newsletters (Most Recent)
- Invitation to attend the next Management Committee meeting (Non-Confidential)
- Questionnaire to find out special requirements of the Share Member e.g., large print, Braille, audit etc..
Transferring a £1 Share Membership
You cannot sell your share but you can transfer it if the Management Committee agrees.
If you die or end your membership or have your membership withdrawn, or you are a representative of an organisation which no longer exists, we will cancel your share, except in those circumstances outlined in Rule 18.1 and Rule 18.2 of our Rule Book. The value of the share will then belong to us.
Rule 18.1 of our Rule Book
You, as a member, can nominate who the Association must transfer your share of the Association to when you die, as long as the person that you nominate is eligible for membership under these Rules. On being notified of your death, the Management Committee shall transfer or pay the full value of your share to the person you have identified. Your nomination must be in the terms required by the Industrial and Provident Societies Act 1965.
Rule 18.2 of our Rule Book
If you die or become bankrupt and your personal representative or trustee in bankruptcy claims your share in the Association, the Committee will transfer or pay the value of your share (to the extent that your personal representative or trustee in bankruptcy has right) in terms of your representative’s or trustee’s instructions.
Ending a Member’s Membership: Procedure
The Association’s Corporate Services Department will provide details of membership due to be cancelled to the Management Committee on one of the following grounds:-
- Death of a Member.
- Written resignation of a member.
- The Committee is satisfied that:-
The member has failed to tell us of a change of address as set out in Rule 11 of the Model Rulebook or The member has failed to attend and submit apologies for five consecutive Annual General Meetings. In this respect we will end the membership and cancel the share.
In addition to the above, we may end the membership if we receive a complaint about the member’s behaviour and two-thirds of the members voting at a Special General Meeting agree with this course of action. At this meeting the Members can vote in person or through a representative by proxy. The following conditions apply to this procedure:-
- The complaint must be in writing and must relate to behaviour which could harm the Association’s interests.
- The Secretary must notify the member of the complaint in writing not less than one calendar month before the special general meeting takes place.
- The member will be called to answer the complaint at the meeting. The Members present will consider the evidence supporting the complaint and any evidence the member decides to introduce; and
- If the member receives proper notice, but does not go to the special general meeting without providing a good reason, the meeting may go ahead without the member.
- If we end a member’s membership in this way, any further application for membership by the former member will need to be approved by two-thirds of the members voting at a general meeting.
